Five Adani Group companies have settled a Sebi case over related-party disclosures and audit certification lapses by paying ₹150.80 lakh combined. The order, passed on September 22, 2026, closes a matter arising from Sebi's Hindenburg review.

Which Adani Companies Settled and How Much Each Paid

The Securities and Exchange Board of India (Sebi) closed the proceedings on Tuesday through a settlement order passed by its adjudicating officer, Jai Sebastian. The companies settled without admitting or denying the regulator's findings of fact or conclusions of law, which is the standard basis for Sebi settlements.

The five listed entities and the amounts each paid are:

CompanySettlement Amount
Adani Enterprises Ltd₹76.05 lakh
Adani Green Energy Ltd₹45.50 lakh
Adani Total Gas Ltd₹9.75 lakh
AWL Agri Business Ltd (formerly Adani Wilmar)₹9.75 lakh
Adani Energy Solutions Ltd (formerly Adani Transmission)₹9.75 lakh
Total₹150.80 lakh (about ₹1.51 crore)

Adani Enterprises, the group's flagship, accounted for just over half of the total. Adani Green Energy paid the second-largest amount, and the other three companies paid the same sum each.

What Sebi Alleged Against the Five Companies

The proceedings covered two types of alleged lapses under Sebi's listing regulations and the old listing agreement. The first was the non-disclosure of certain related-party transactions, which are dealings between a listed company and entities connected to its promoters, directors or group firms.

The second concerned audit and limited review reports signed by audit firms that did not hold a valid peer review certificate at the time. Listed companies in India must have their statutory audits and quarterly limited reviews done by auditors who have been peer reviewed by the Institute of Chartered Accountants of India.

According to the settlement order, the reports in question cover several periods between 2015 and 2021. For Adani Green Energy, the alleged gaps related to its March 2019 annual audit and limited reviews for the September 2018, December 2018 and June 2019 quarters. For Adani Energy Solutions, a June 2015 limited review was cited.

How the Settlement Moved Through Sebi

Sebi's settlement route lets a company facing enforcement proceedings pay an agreed amount and close the case, once the regulator's internal committees approve. The Adani case went through that process over about four months:

  1. May 29, 2026: The five companies submitted revised settlement terms after meetings with Sebi's Internal Committee.
  2. June 29, 2026: Sebi's High Powered Advisory Committee recommended the settlement amounts.
  3. August 13, 2026: The Panel of Whole Time Members accepted the recommendation.
  4. August 20, 2026: Sebi issued notices of demand to the companies.
  5. September 5, 2026: The companies informed Sebi by email that they had paid.
  6. September 22, 2026: Sebi passed the settlement order and closed the proceedings.

Sebi said the material on record confirmed it had received the amounts, which allowed the final order to be passed.

Why This Order Matters for Adani Group Investors

The case goes back to Sebi's examination of the allegations and governance issues raised in the January 2023 report by US short seller Hindenburg Research, which has since shut down. That report alleged that entities including Adicorp Enterprises, Milestone Tradelinks and Rehvar Infrastructure were used to route funds from Adani Group companies to listed firms such as Adani Power and Adani Enterprises.

In September 2025, Sebi cleared Gautam Adani and the group of the stock manipulation allegations in that report, after finding no evidence that related parties were used to route funds into the listed companies. Adani Enterprises shares rose as much as 5.2% the day after that ruling, and all 10 group firms gained.

The September 22 settlement deals with a narrower set of disclosure and audit-certification issues that were still open after the 2025 findings. The amounts are small relative to the size of the companies. The practical significance is that a pending regulatory matter is now closed, not that the balance sheets take any real financial hit.

What the Settlement Does and Does Not Cover

A Sebi settlement order closes only the specific adjudication proceedings named in it. It is not a ruling on the merits, since the companies neither admitted nor denied the allegations. It also does not by itself cover any separate proceedings that may exist in other forums or jurisdictions.

For shareholders of Adani Enterprises, Adani Green Energy, Adani Total Gas, AWL Agri Business and Adani Energy Solutions, the order removes one item from the list of unresolved regulatory issues linked to the Hindenburg report. Investors tracking these stocks would typically watch for related exchange disclosures from the companies and for how the market prices the news once trading opens on Wednesday.
